Welcome to the Refinance Digital loan and interest platform service offered by ConduIT, a computer programming business (" ConduIT ", "Refinance Digital", "platform" "we", "our" or "us"). The following terms and conditions ("Terms") govern your access to and/or use of the Credit and Interest Advice Platform, the Website and the Refinance Digital content, services and products available on and/or through the Website, including but not limited to to, electronic signature service, online upload, display, delivery, confirmation and limited storage services for documents and/or electronic contracts (collectively, the "Services").

1. Acceptance of terms

The Services are offered and provided subject to your acceptance of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, the ConduIT Trade Privacy Notice ) and procedures that Refinance Digital may publish from time to time in connection with the Services. which will be incorporated herein by reference. By accessing, registering and/or using the Services in any way, you agree to the Terms set forth herein. If you do not agree to the Terms, please do not use the Services.

2. Orders

2.1 Basics

• Once payment has been confirmed, your order will be created and assigned a unique ID number.

• An order is marked as complete after it is marked as delivered and then accepted by the customer. The order will automatically be marked as completed if it is not accepted and if a change request is not submitted within 3 days after the order is marked as delivered.

• Customers can purchase an annual subscription to the service. During the Service Subscription period, a new Order of the same package will be automatically created on a recurring basis, as agreed between the Seller and the Buyer. By purchasing an Annual Subscription, you authorize us to automatically bill you for each Annual Subscription Order from your saved payment method, as applicable. If you do not have a payment method saved, you will be asked to approve the payment before your next order. In the event that the Customer does not process or make the payment, for any other reason, the Orders under the Service Subscription will be cancelled. Customer may also cancel future Orders under the annual subscription before payment is made for such future Orders. Once payment is made, the order cancellation policy will apply according to the payment terms. Please note that the Refinance Digital platform may cancel future Orders within the annual subscription 10 days prior to the next consecutive Order.

2.2 Order Handling

• When the Customer orders the service, the platform receives a notification and waits for payment confirmation. After payment, a delivery request is created and delivery takes up to 48 hours. With the possibility of extending the deadline for requests that do not have complete information.

• The Refinance Digital platform is obliged to respect the delivery time they specified when creating their services. If he does not, the customer will be able to cancel the order when the order is marked as overdue.

• Customers are responsible for scanning all uploaded files for viruses and malware. The Refinance Digital platform will not be held responsible for any damage that may occur as a result of the use of the site, use of the content or uploaded files.

• Customers can "Request a revision" via email if the delivered materials do not match the description on the page or do not match the requirements sent at the beginning of the order process.

3. Payment

3.1 Basics

You can purchase a one-time or annual plan and your credit card on file will be charged regularly. All fees payable to the Refinance Digital Platform under the Terms must be paid in full without any deductions, set-offs, counterclaims or retentions of any kind, unless required by law. All fees due and payable under the Terms are exclusive of applicable taxes, which will be added from time to time at the prevailing rate. When you sign up for a paid plan, you agree to pay and assume responsibility for all charges in accordance with the selected plan, and your subscription will automatically renew at the end of the subscription period unless you cancel as provided further herein. Refinance Digital reserves the right to change fees and/or applicable fees at the end of the initial period and before renewal becomes effective.

3.2 Cancellation policy

You agree to notify Refinance Digital in writing of any changes to your account information or termination of authorization at least ten (10) days prior to your next billing date. Upon termination pursuant to this Section 5.2, you shall pay all outstanding fees, taxes, duties and charges owed under the Account, if applicable. However, there are no refunds (prorated or otherwise) upon cancellation. In the interest of fairness to all our clients, there will be no exceptions.

3.3 Free version

Refinance Digital offers a free period of one year for all our plans if two new users subscribe to our platform using your referral email. You don't need to enter payment information, but your plan will expire at the end of the year (or sooner, at our discretion). After the expiration, you can request the free version again for an additional year and again bring two new users of the platform via referral e-mail. If you choose to enter billing information, your first billing will occur at the end of the last day after your sign-up date. If you choose a free period and cancel your account before the year is up, you won't be charged at all, even if you've entered your billing information. If you do not renew the plan during the first year, and then renew the plan, the data you include may be permanently deleted.

3.4 Billing of the annual plan

Refinance Digital annual plans allow year-to-year access. Annual charges will be charged each renewal date (the same date of the year you originally signed up for the plan). Annual plans automatically renew each year thereafter. If you cancel before the upcoming renewal date, you will have access to your services until the end of the year then in progress.

3.5 Unsuccessful payments; Suspension

If your credit card on file is closed or your Account information is changed, or if, for any reason, a charge is declined, you will promptly update your Account or provide a new account for payment, as applicable. If you are unable to update your credit card account with the appropriate information, Refinance Digital will send you an invoice detailing the amount owed. You must pay the amount owed in full within seven (7) days of the invoice date. You agree to notify Refinance Digital in writing of any changes to your account information or termination of any authorization at least thirty (30) days prior to the immediately following billing date. In the event that payment dates fall on a weekend or holiday, you understand that payments may be made the next business day. Unpaid amounts are subject to a late fee of 1.5% per month of any outstanding debt or the maximum permitted by law, whichever is lower, plus all collection costs and may result in immediate termination of the Services. Refinance Digital may, without liability to You, disable the Service, the Account and access to all or part of the Services if any fees owed are not paid within forty-five (45) days after such fees became due under the Terms. In the event of the above, Refinance Digital shall have no obligation to provide any and/or all services until such fees are paid in full. Accounts that have been terminated may be reactivated if valid payment information is entered and the card can be successfully processed for any charges incurred on the Account from a failed credit card charge.

4. User Information

4.1 You represent and warrant that:

(i) all information and/or User Content you provide in connection with your access to and/or use of the Services is true, accurate and complete and that you will regularly maintain and update such information; (ii) you will respect the intellectual property, other information and all rights of Refinance Digital, others who use the Services and all third parties; and (iii) any information and/or User Content you provide in connection with your access to and/or use of the Services does not infringe any proprietary right of any party, including patent, trademark, trade secret, copyright, right of publicity, and /or other rights.

4.2 User Content

All content that you or your users upload, create, submit, distribute and/or publish on the Services, including, but not limited to, document layouts, source code, images, video and other images, audio materials, graphics, documents or data files, information relating to natural persons and other persons, messages, e-mails and other communications, files, texts, personalization settings and other information and/or content, which is or may be delivered to Refinance Digital or which you enter and/ or transmitted through the Services ("User Content"), whether publicly posted or privately transmitted, is the sole responsibility of the person who created such User Content. Refinance Digital has no responsibility and/or liability for the deletion and/or accuracy of any User Content; failure to store, transmit and/or receive transmission of User Content; and/or security, privacy, storage and/or transmission of other communications originating from/or involving use of the Services. You hereby grant Refinance Digital a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable, transferable license to use, edit, modify, abridge, aggregate, reproduce, distribute, prepare derivative works, display and perform User Content for the purpose of providing the Services and allow Refinance Digital to use your name and logo for Refinance Digital's marketing purposes. You are solely responsible for User Content and once posted it cannot always be withdrawn. You represent that you own and/or have the necessary permissions to use and authorize the use of User Content as described in these Terms. Notwithstanding anything to the contrary herein, Refinance Digital may collect aggregated, anonymized information that cannot identify any individual and that is derived from and/or created through your use of the Services.

4.3 Feedback

Please note that we do not solicit any unsolicited ideas and/or materials for the Services. If you provide us (by direct mail, email and/or otherwise) any feedback, suggestions, enhancements, improvements, recommendations and/or feature requests relating to the Services ("Feedback"), then You further grant to Refinance Digital a perpetual, irrevocable, royalty-free license to use, reproduce, perform, display, distribute, adapt, modify, reformat, create derivative works and otherwise commercially or non-commercially exploit in any way it sees fit, any and all feedback and sublicense the above rights. Refinance Digital will treat any feedback you provide to Refinance Digital as non-confidential and non-proprietary. You represent and warrant that you have all rights necessary to submit feedback.

4.4 Content provided by others.

The Services may contain user content provided by other users and/or third parties. Please choose carefully the information you post on, through and/or in connection with the Services. You assume all risks associated with User Content, including any reliance by you on its quality, accuracy and/or reliability. We are not responsible for and do not control such User Content. Refinance Digital disclaims any responsibility for your disclosure of personal or confidential information that you provide through the Services to other users. It is your responsibility to ensure that users of the Services to whom you provide personal information or confidential information will take appropriate security and confidentiality measures.

5. Disputes and Cancellations

5.1 Basics

• Cancellation of an order may be made on the platform, when acceptable, by Refinance Digital (via customer support or otherwise)

• Submitting a transaction dispute or voiding a payment through your payment service provider or your bank is a violation of these Payment Terms. Doing so may result in your account being temporarily or permanently disabled. Note: Once you have filed a dispute with your payment provider, the funds will not be eligible for refund due to our obligations to the payment provider.

• In the event that you encounter a problem related to the service provided in the order, we encourage you to use the website's dispute resolution tools to try to resolve the problem.

• Refinance Digital, through its Payment Service Provider, reserves the right to cancel orders or place funds on hold for any transaction suspected to be fraudulent on the Site.

• Any transfer and assignment of intellectual property to the Customer in the form of Refinance Digital "Reports" is subject to full payment, and delivery cannot be used if payment is canceled for any reason.

• If the order is canceled (for any reason), the funds paid will be returned to the customer's account.

• Refinance Digital may audit the services provided based on customer care and satisfaction with the service. Refinance Digital can determine the amount of modifications they wish to offer, including no modifications.

• Revision requests can be submitted through all communication channels of the platform while the order is marked as delivered.

5.2 Order cancellation

• Refinance Digital encourages Customers to resolve service disputes using live WhatsApp customer support or for specific issues via email: info@refinance.digital

• Eligibility for requests to Refinance Digital to cancel an order will be evaluated by Refinance Digital based on a number of factors, including violations of our Terms of Service and/or our Community Standards, general misconduct, and improper use of delivery systems. See below for eligibility for a specific order.

• Completed orders (or, where applicable, completed milestones) may be canceled, subject to review by our customer support team, up to 14 days after the order has been marked as complete. Please note that orders cannot be partially canceled (i.e. we can cancel the entire order only if it is justified).

• In rare circumstances where we see fit, our customer support team may cancel a completed order even after 14 days have passed since it was completed. In such cases, the amounts paid for the canceled order will be refunded to the customer's account.

• Orders cannot be canceled based on the quality of the service/materials supplied by Refinance Digital if the service is provided as described on the site.

• Refinance Digital will cancel orders based on, but not limited to, the following reasons:

Active orders (after requests have been submitted to the platform and before the platform delivers to the Customer):

• Refinance Digital is late and does not respond for more than 24 hours while the order is marked as Late.

Delivered Orders (after Refinance Digital Delivers the Service):

• Users who abuse the audit option to obtain more services from Refinance Digital beyond the agreed requirements.

• Users who threaten to leave a negative review in order to obtain more services from Refinance Digital unrelated to the agreed requirements.

Completed orders (after the order is marked as completed and before the 14-day limit):

• Users who have been reported using copyright/trademark infringing materials after verification and proof.

• Users who are reported to have used the materials for commercial purposes.

5.3 Refunds

• Refinance Digital reviews chargebacks and disputes. If the chargeback case allows, Refinance Digital will refund the parts or the amount to the Customer, otherwise the chargeback amount will be borne by the Customer.

• Refinance Digital returns automatic refunds for canceled orders to your payment provider.

• Refunds can be requested through customer support for billing. The refund will be based on your payment method, amount and currency. To prevent fraud and abuse, we limit the total number of times users can request a refund from a payment service provider, subject to review by our customer support team.

• Refinance Digital may offer the customer a partial refund on a particular order. After the Customer accepts such a partial refund, the amount will be automatically refunded to the Customer's account.

6. Without legal and financial advice; Electronic communication

6.1 Without legal and financial advice

The services do not contain legal advice and Refinance Digiral is not a company for financial consulting and mediation. It does not offer legal and financial advice, legal opinions, recommendations, referrals and/or consultancy. Part of the Services that Refinance Digital may provide may include information and reports based on publicly available data and while we strive to ensure that our data is accurate and useful, we recommend that you consult an advisor of your choice if you require the assistance of a financial advisor and/or intermediary. Finally, apart from the services that Refinance Digital provides, Refinance Digital plays no role in the contracts between you and other users and/or parties.

6.2 Local laws

Use of the Services may be governed by the laws of different countries or regions, and you agree to comply with such local laws.

6.3 Electronic communications

By using the Services, you agree to receive certain communications regarding them. Communication between you and Refinance Digital is by electronic means, whether you use the Services or send us email, WhatsApp text messages, or whether Refinance Digital posts notices on the Services or communicates with you by email. For contractual purposes, you (i) agree to receive communications from Refinance Digital in electronic form; and (ii) agree that all terms and conditions, agreements, notices, announcements and other communications that Refinance Digital delivers to you electronically satisfy all legal requirements that such communications would satisfy if they were printed in written form. You agree that text messages may be generated by automated telephone dialing systems. IF YOU WOULD LIKE TO OPT OUT OF RECEIVING PROMOTIONAL EMAILS, YOU CAN UNSUBSCRIBE FROM OUR PROMOTIONAL EMAIL LIST BY GOING TO THE UNSUBSCRIBE OPTIONS IN THE PROMOTIONAL EMAIL ITSELF. IF YOU WANT TO TURN OFF RECEIVING PROMOTIONAL TEXTS VIA WHATSAPP, YOU CAN SEND THE MESSAGE "STOP" FROM YOUR MOBILE DEVICE. YOU ACKNOWLEDGE THAT YOU ARE MANDATORY CONSENT TO RECEIVING PROMOTIONAL TEXTS OR INVITATIONS AS A CONDITION OF USING THE SERVICES. HOWEVER, YOU ACKNOWLEDGE THAT OPTING OUT OF RECEIVING ALL TEXT MAY AFFECT YOUR USE OF THE SERVICES. THE ABOVE DOES NOT AFFECT YOUR RIGHTS THAT YOU ARE NOT WAIVING.

7. General conditions

7.1 Changes

We may change the Terms and/or our other operating rules, policies and/or procedures from time to time, in our sole and absolute discretion. We will notify you of any changes to the Terms by posting the updated Terms on the Refinance Digital website and/or Services, and we will revise the “Updated” date above. Any changes to our operating rules, policies and/or procedures will be incorporated herein by reference. It is your responsibility to review the Terms frequently and to be informed of any changes to them. We may also provide you with additional forms of notice of changes and/or updates as appropriate in certain circumstances including, but not limited to, sending you an email notifying you of the changes and/or prominently posting a notice of the changes on the Refinance Digital website and/or Services. If you do not agree to the changes and/or modifications, you will not use the Services after the effective date of the changes. The then current version of the Terms will supersede all earlier versions. You agree that your continued use of the Services following the posting of such changes will constitute your acceptance of such revised Terms and operating rules, policies and/or procedures (as applicable).

7.2 Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER REFINANCE DIGITAL NOR ANY PERSON ASSOCIATED WITH REFINANCE DIGITAL MAKES ANY WARRANTIES OR REPRESENTATIONS REGARDING THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE. THE FOREGOING DOES NOT AFFECT WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

7.3 Limitation of Liability

IN NO EVENT SHALL REFINANCE DIGITAL OR ITS LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, ANY WEB- SITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTURBANCE, LOSS OF INCOME, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN AND IF FORECASTED.

ACCEPTING RESPONSIBILITY AS THE LIMITED AUTHORIZED COLLECTION AGENT OF THE PLATFORM, OBRT CONDUIT ASSUMES NO RESPONSIBILITY FOR ANY ACTS OR OMISSIONS.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT MAY NOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
